06 / Tax & levies

Tax & levies

A single-member LLC is often disregarded for US federal tax purposes by default unless another election is made.

That does not mean tax-free. US-sourced or effectively connected income, withholding tax, tax treaties, owner residence and state nexus rules must be reviewed separately. A corporation is generally subject to US corporate income tax. A wholly foreign-owned disregarded entity may have to file Form 5472 with a pro-forma Form 1120 where reportable transactions exist.

07 / Ongoing duties

Ongoing duties

  • Registered agent — ongoing
  • Wyoming annual report and minimum levy: currently at least USD 60 or asset-based
  • Delaware LLC annual tax: currently USD 300 according to the authority's FAQ
  • Federal tax and information returns according to classification
  • Sales-tax registrations according to economic and physical nexus
  • Foreign qualification where actually operating in other states
  • BOI status: since the FinCEN final rule of 11 August 2026, domestically formed US companies are exempt from CTA BOI reporting
08 / Banking & payment providers

Banking & payment providers

Banks and fintechs review owners, residential address, activity, target customers, website, contracts and source of funds. A registered-agent address is not automatically an accepted operating address. We promise account preparation only — never a guaranteed account opening.

11 / Frequently asked questions

Frequently asked questions

01Can I own an LLC as a non-US citizen?

Generally yes. Ownership does not replace a visa or tax review and does not guarantee a bank account.

02Is a US LLC tax-free?

No. The tax treatment depends on classification, source of income, US activity, owner residence and treaties.

03Do I need an SSN?

Not necessarily for formation. The EIN process and individual banks differ for founders without an SSN or ITIN.

04Wyoming or Delaware?

Wyoming is often cost-efficient for simple owner-managed LLCs. Delaware is established for investor-financed corporations and complex governance.

05Do I have to file Form 5472?

A foreign-owned disregarded entity may have to file Form 5472 with a pro-forma Form 1120 where reportable transactions exist. This is reviewed annually on the facts.

06Do I need a US registered agent?

Yes, in the state of formation. It does not automatically replace an operating business address.

07Can I open a bank account remotely?

Applications are often possible remotely. The decision rests solely with the provider and depends on the risk profile.

08What about sales tax?

Sales tax is not triggered by the state of formation alone. Sales, warehouses, marketplaces and economic nexus can create duties in several states.

09Do I need bookkeeping every year?

At least orderly records are needed. Scope and returns depend on tax classification, activity and state.

10Is the ownership structure public?

Register information and disclosure duties differ. Banks, authorities and providers require KYC data regardless.
