General terms and conditions

The provider is CULTURETEK LIMITED, Hong Kong ("Culturetek"). Culturetek coordinates company formation, corporate-secretarial, registered-address, bank-readiness and ongoing compliance services in the United States, the United Arab Emirates, Singapore, Hong Kong and Switzerland. Statutory roles and regulated services are performed by locally licensed partners under their own engagement terms, which take precedence for the regulated part of the service.

Information on this website and in our communications is general information. It does not constitute legal, tax, accounting, audit, immigration or investment advice. Tax consequences depend on the client's residence, the place of effective management, permanent establishments, source rules and double-tax treaties and must be reviewed by a qualified adviser in the relevant jurisdictions. Culturetek can arrange such advice as a separately priced service.

Every engagement begins with a free eligibility check and a documented know-your-customer review. Culturetek and its partners may decline or terminate an engagement at any time without stating reasons where the review is incomplete, the activity is regulated without the required licence analysis, sanctions, PEP or adverse-media findings arise, or the requested structure appears designed to conceal beneficial ownership or to evade tax. No filing is made before the KYC review is complete.

Prices shown on the website are positioning recommendations with a stated data status. A binding quote is issued in writing after the eligibility check, in the local currency of the jurisdiction, and is valid for 14 days. Quotes state which government, registry, notary, licence, visa, audit, translation and courier costs are included; all other third-party costs are passed through at cost and confirmed before filing. Foreign-currency conversions on the website are indicative only.

Setup packages are payable in full before filing. Managed plans are invoiced monthly or annually in advance. Government and partner costs may be requested as an advance. Invoices are due within 7 days. Late payment entitles Culturetek to suspend services and filings.

The client provides complete and accurate information and documents without delay, informs Culturetek of changes in ownership, management, address or activity, and remains responsible for the timely payment of government fees, taxes and penalties. The managed plan keeps a deadline calendar but does not replace missing documents, decisions or payments of the client.

Culturetek does not guarantee (a) the opening of a bank, fintech or payment-provider account — providers decide independently under their own KYC and risk policy; (b) any particular tax treatment or tax rate; (c) the issue of a visa, residence permit or licence; (d) processing times of authorities, notaries, banks or partners; or (e) the acceptance of an offshore, free-zone or start-up tax status by the competent authority.

Registered agents, company secretaries, resident or nominee directors, notaries, auditors, filing agents and virtual-office providers act under their own licences and terms. Nominee and resident directors carry real statutory duties, require KYC, indemnities and control over the company's governance, and are never an instrument of anonymity.

Culturetek is liable without limitation for intent and gross negligence and for damage to life, body or health. For slight negligence, liability is limited to foreseeable, contract-typical damage and capped at the fees paid by the client for the affected service in the twelve months preceding the event. Culturetek is not liable for decisions of authorities, banks or partners, for delays caused by incomplete client information, or for indirect and consequential loss.

Setup engagements end with the hand-over of the registration documents. Managed plans run for the agreed period and renew automatically unless terminated in writing with 30 days' notice to the end of the period. Either party may terminate for cause without notice. Fees for work already performed and third-party costs already incurred are not refundable.

Both parties keep the engagement and all documents confidential. Culturetek processes personal data as described in the privacy policy and shares it only with the partners, registries, banks and authorities required for the engagement.

These terms are governed by the laws of the Hong Kong Special Administrative Region. The courts of Hong Kong have exclusive jurisdiction, without prejudice to mandatory consumer-protection rules that may apply to the client. Before litigation, the parties attempt to resolve the dispute amicably within 30 days.

Should any provision be invalid, the remaining provisions remain unaffected. Culturetek may update these terms; the version published on ctksetup.com at the time of the quote applies to that engagement. The English version prevails over translations.
